1. The Service
Middleton Networking provides a local business community in and around Middleton, Florida — including monthly in-person networking events, an online business directory, and related communications and marketing services. We may add, change, or discontinue features at any time.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use our services. By using our services on behalf of a business, you represent that you are authorized to act for that business.
3. Accounts & Information Accuracy
You are responsible for the accuracy of the information you submit, including event registrations and business listing details, and for keeping that information up to date. You agree not to impersonate any person or business or misrepresent your affiliation.
4. Business Directory Listings
Paid business directory listings are governed by our separate Directory Listing Terms, which cover listing fees, annual billing, automatic renewal, cancellation, refunds, and listing content. If you purchase a directory listing, those terms apply to that purchase in addition to these Terms.
5. Events
Event registration is subject to availability and any stated requirements. We may change, reschedule, or cancel an event at any time. By attending, you agree to conduct yourself professionally and respectfully, and you grant us permission to capture photos or video at events that may be used for promotional purposes unless you notify us otherwise.
6. Acceptable Use
You agree not to: (a) use our services for any unlawful purpose; (b) scrape, harvest, or bulk-collect directory data; (c) interfere with or disrupt the sites or their security; (d) post false, infringing, harassing, or harmful content; or (e) use our communications channels to send spam or unsolicited solicitations.
7. Intellectual Property
The Middleton Networking name, logo, site design, and content (excluding user-submitted listing content) are owned by ARC Affiliates and protected by intellectual-property laws. You may not copy, reproduce, or reuse them without our written permission.
8. Your Content & License
You retain ownership of the content you submit. By submitting listing or event content, you grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and promote that content in connection with operating and marketing our directory and events. You represent that you have all rights necessary to grant this license.
9. Third-Party Services & Links
Our services rely on and link to third-party platforms and websites that we do not control. We are not responsible for the availability, content, products, or practices of those third parties, and your use of them is at your own risk and subject to their terms.
10. Disclaimers
Our services and the directory are provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that listings are accurate or current, that the sites will be uninterrupted or error-free, or that any business listed meets your expectations. A listing is not an endorsement.
11. Limitation of Liability
To the fullest extent permitted by law, ARC Affiliates and Middleton Networking will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of our services. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.
12. Indemnification
You agree to indemnify and hold harmless ARC Affiliates and Middleton Networking from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your content, your use of our services, or your violation of these Terms or applicable law.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
